Job Purpose

Reporting to the Senior Commercial Counsel (M&A/Projects), you will be a key member of the legal team providing practical and timely advice to various divisions in the Irish Life Group and management on a wide variety of business issues and transactions. You will work with a highly accomplished team of legal, finance, compliance and business professionals.

 

Key Accountabilities

  • M&A and other transactions advice
  • Advising on corporate reorganisations/restructurings and on a broad range of corporate, securities and regulatory legal matters arising under applicable legislation
  • Performing and supervising legal research relevant to transactional matters
  • Reviewing, drafting and advising on non-disclosure, acquisition, transition services and all other agreements ancillary to transactions, including coordinating internal comments and information
  • Considering and advising on various other contracts across the Irish Life Group including intra-group and other bespoke agreements.  Supporting business operations in the negotiation, finalisation and implementation of contracts.
  • Contributing as a senior member of the Legal Team by applying your experience and creative legal skills to develop practical solutions for our businesses

 

Desired Knowledge / Experience / Skills

  • Qualified solicitor with post-qualification experience in M&A (1.5 years minimum)
  • Experience of due diligence projects and generally advising on acquisition and sales processes.
  • Will have experience in commercial contracts law.
  • Strong intrapersonal and communication skills
  • The successful candidate must be highly self-motivated and have the ability to work under their own initiative and in a collaborative team environment 
  • Adept at working with clients, colleagues and other internal and external counsel
  • Pro-active team player with the ability to prioritize and work to set deadlines within a challenging environment
